These Terms of Use govern your use of TimePear, our website located at https://timepear.de/, and any related services provided by TimePear UG (haftungsbeschränkt, in Gründung durch Johann Pietsch).

When you use TimePear, you agree to abide by these Terms of Use and to comply with all applicable laws and regulations. If you do not agree with these Terms of Use, you are prohibited from further using the app, accessing our website, or using any other services provided by TimePear UG (haftungsbeschränkt, in Gründung durch Johann Pietsch).

If you access or download TimePear from (1) the Apple App Store, you agree to any Usage Rules set forth in the App Store Terms of Use; and/or (2) the Google Play Store, you agree to the Android, Google Inc. Terms and Conditions including the Google Apps Terms of Use; and/or (3) the Microsoft Store, you agree to the Microsoft Terms of Sale and the Microsoft Standard Application License Terms.

We, TimePear UG (haftungsbeschränkt, in Gründung durch Johann Pietsch), reserve the right to review and amend any of these Terms of Use at our sole discretion. Any changes to these Terms of Use will take effect immediately from the date of publication.

These Terms of Use were last updated on 8 April 2023.

1. Limitations of Use

By using TimePear and our website, you warrant on behalf of yourself, any entity who you represent who has entered into these Terms of Use, and your users that you will not:

  1. modify, copy, prepare derivative works of, decompile, or reverse engineer TimePear or any materials and software contained within TimePear or on our website;
  2. remove any copyright or other proprietary notations from TimePear or any materials and software contained within TimePear or on our website;
  3. transfer TimePear or any of its associated materials to another person or „mirror“ the materials on any other server;
  4. knowingly or negligently use TimePear or any of its associated services in a way that abuses or disrupts our networks or any other service TimePear UG (haftungsbeschränkt, in Gründung durch Johann Pietsch) provides;
  5. use TimePear or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
  6. use TimePear or its associated services in violation of any applicable laws or regulations;
  7. use TimePear to send unauthorized advertising or spam;
  8. harvest, collect, or gather user data without the user’s consent; or
  9. use TimePear or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

2. Intellectual Property

  1. The intellectual property in the materials in TimePear and on our website are owned by or licensed to TimePear UG (haftungsbeschränkt, in Gründung durch Johann Pietsch).
  2. This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or these Terms of Use, and may be terminated by TimePear UG (haftungsbeschränkt, in Gründung durch Johann Pietsch) at any time.

3. User-Generated Content

  1. You retain your intellectual property ownership rights over content you submit to us for publication within TimePear and/or on its corresponding website. We will never claim ownership of your content, but we do require a license from you in order to use it.
  2. When you use TimePear or its associated services to post, upload, share, or otherwise transmit content covered by intellectual property rights, you grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, distribute, modify, run, copy, publicly display, translate, or otherwise create derivative works of your content in a manner that is consistent with your privacy preferences and our Privacy Policy.
  3. The license you grant us can be terminated at any time by deleting your content. However, to the extent that we (or our partners) have used your content in connection with commercial or sponsored content, the license will continue until the relevant commercial or post has been discontinued by us.
  4. You give us permission to use your username and other identifying information associated with your account in a manner that is consistent with your privacy preferences, and our Privacy Policy.

4. Automatic Updates

You give us permission to download and install updates to TimePear on your device in accordance with your privacy preferences. This permission can be revoked at any time by deleting TimePear from your device.

5. Liability

  1. TimePear UG (haftungsbeschränkt, in Gründung durch Johann Pietsch) does not warrant that TimePear complies with the legal requirements applicable in the user’s country (e.g. for time recording or invoicing). You are obliged to ensure compliance with the relevant legal regulations and, if necessary, to obtain specialised legal advice. Furthermore, you habe to undertake to perform regular database backups to reduce the risk of accidental data loss, e.g. in the event of unintentional app uninstallations or system crashes.
  2. We shall be liable for intent and gross negligence as well as for damages resulting from injury to life, body or health. Subject to the limitation in clause 5.5., we shall only be liable for slight negligence in the event of a breach of a cardinal obligation. Contractual cardinal obligations are obligations which protect the legal positions of the customer which are essential to the contract and which the contract must grant to the customer according to its content and purpose, or the fulfilment of which makes the proper execution of the contract possible in the first place and on the fulfilment of which the customer may rely.
  3. We owe the due diligence customary in the industry. In determining whether we are at fault, it must be taken into account that software cannot be created technically free of errors.
  4. In the event of slight negligence, liability shall be limited to the amount of the foreseeable damage, the occurrence of which must typically be expected, subject to the limitation in clause 5.5. However, this liability is limited to a maximum of the 10 times the licence fee from the contractual relationship.
  5. Liability for the loss of recorded data is excluded to the extent that it exceeds the damage that would have arisen if you as the customer had properly backed up the data in accordance with professional standards in terms of time frequency and backup procedures.
  6. Our liability during the period of use of the demo licence is limited to fraudulent concealment of defects and to intentional and grossly negligent acts. Our liability is excluded in the event of a slightly negligent breach of duty or tortious act.
  7. Insofar as our liability is excluded or limited in accordance with the above, this shall also apply to the liability of the legal representative bodies and vicarious agents, in particular our employees.
  8. As a customer, you are obliged to notify us immediately of any damage incurred by you, at least by e-mail, or to have it recorded by us, so that we are informed as early as possible and may be able to mitigate the damage together with you as the aggrieved customer.

6. Haftung

  1. Wir haften für Vorsatz und grobe Fahrlässigkeit sowie bei Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit. Für leichte Fahrlässigkeit haften wir vorbehaltlich der Beschränkung in Ziffer 6.4. nur bei Verletzung einer Kardinalpflicht. Vertragliche Kardinalpflichten sind solche Verpflichtungen, die vertragswesentliche Rechtspositionen des Kunden schützen, die ihm der Vertrag nach seinem Inhalt und Zweck gerade zu gewähren hat oder deren Erfüllung die ordnungsgemäße Durchführung des Vertrages erst ermöglicht und auf deren Erfüllung der Kunde vertrauen darf.
  2. Wir schulden die branchenübliche Sorgfalt. Bei der Feststellung, ob uns ein Verschulden trifft, ist zu berücksichtigen, dass Software technisch nicht fehlerfrei erstellt werden kann.
  3. Die Haftung ist im Falle leichter Fahrlässigkeit vorbehaltlich der Beschränkung in Ziffer 6.4. summenmäßig beschränkt auf die Höhe des vorhersehbaren Schadens, mit dessen Entstehung typischerweise gerechnet werden muss. Maximal ist diese Haftung jedoch beschränkt auf das 10-fache der Lizenzsumme aus dem Vertragsverhältnis.
  4. Die Haftung für den Verlust von aufgezeichneten Daten ist ausgeschlossen, soweit sie den Schaden übersteigt, der bei einer in zeitlicher Frequenz und Sicherungsverfahren nach professionellen Maßstäben ordnungsgemäßen Datensicherung durch Sie als Kunde entstanden wäre.
  5. Unsere Haftung während der Nutzungszeit der Demo-Lizenz ist beschränkt auf das arglistige Verschweigen von Mängeln sowie auf vorsätzliches und grob fahrlässiges Handeln. Bei leicht fahrlässig begangener Pflichtverletzung oder unerlaubter Handlung ist unsere Haftung ausgeschlossen.
  6. Soweit nach dem Vorstehenden unsere Haftung ausgeschlossen oder beschränkt ist, gilt dies auch für die Haftung der gesetzlichen Vertretungsorgane und Erfüllungs- und Verrichtungsgehilfen, insbesondere für unsere Mitarbeiter.
  7. Sie sind als Kunde verpflichtet, etwaige Ihnen entstehende Schäden uns unverzüglich zumindest per E-Mail anzuzeigen oder von uns aufnehmen zu lassen, so dass wir möglichst frühzeitig informiert wird und eventuell gemeinsam mit Ihnen als geschädigten Kunden eine Schadensminderung durchführen können.

7. Accuracy of Materials

The materials appearing in TimePear or on our website are not comprehensive and are for general information purposes only. To the extent permitted by law, TimePear UG (haftungsbeschränkt, in Gründung durch Johann Pietsch) does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials in TimePear or on our website, or otherwise relating to such materials or on any resources linked to TimePear and our website.

8. Links

TimePear UG (haftungsbeschränkt, in Gründung durch Johann Pietsch) has not reviewed all of the sites linked to TimePear or on its corresponding website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval, or control by TimePear UG (haftungsbeschränkt, in Gründung durch Johann Pietsch) of the site. Use of any such linked website is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.

9. Notice regarding Apple

  1. To the extent that you are using or accessing TimePear on an iOS or macOS device, you acknowledge and agree to the terms of this clause. You acknowledge that these Terms of Use are between you and TimePear UG (haftungsbeschränkt, in Gründung durch Johann Pietsch) only, not with Apple Inc. (Apple), and Apple is not responsible for TimePear and any materials available in TimePear.
  2. Apple has no obligation to furnish you with any maintenance and support services with respect to TimePear.
  3. If TimePear fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price of the application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to TimePear and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be our responsibility.
  4. Apple is not responsible for addressing any claims by you or any third party relating to TimePear or your use of TimePear, including but not limited to (1) product liability claims; (2) any claim that our application fails to conform to any applicable legal or regulatory requirement; and (3) claims arising under consumer protection or similar legislation.
  5. Apple is not responsible for the investigation, defence, settlement, and discharge of any third-party claim that our application infringes that third party’s intellectual property rights.
  6. You agree to comply with any applicable third-party terms when using TimePear, including any Usage Rules set forth in the Apple App Store Agreement of Service.
  7. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms of Use, and upon your acceptance of these Terms of Use, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms of Use against you as a third-party beneficiary of these Terms of Use.
  8. You hereby represent and warrant that (1) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a „terrorist supporting“ country; and (2) you are not listed on any U.S. Government list of prohibited or restricted parties.

10. Severance

Any term of these Terms of Use which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Use is not affected.

11. Governing Law / Court of Jurisdiction

These Terms of Use and contracts concluded between you and us on the basis of these GTC are subject to the law of the Federal Republic of Germany to the exclusion of the UN Convention on Contracts for the International Sale of Goods. In the case of customers who are merchants, a legal entity under public law or a special fund under public law, who do not have a general place of jurisdiction in Germany or who move their place of residence abroad after conclusion of the contract or whose place of residence is unknown at the time the action is brought, the exclusive place of jurisdiction for all contracts concluded under these General Terms and Conditions shall be the court in Münster (Germany) which has jurisdiction for us.

12. Instructions on withdrawal for consumer

Right of withdrawal

You have the right as a consumer to withdraw from this contract within 14 days without giving any reason. The withdrawal period will expire after 14 days from the day of the conclusion of the contract. To exercise the right of withdrawal, you must inform us (TimePear UG (haftungsbeschränkt, in Gründung durch Johann Pietsch), Dahlweg 11, 48153 Münster (Deutschland), Email: kontakt@timepear.de) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post, fax or e-mail). You may use the attached model withdrawal form, but it is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.
